TemplifyDoc Terms of Use Last updated: [13 July 2025]

These Terms of Use ("Terms") govern your access to and use of the TemplifyDoc platform ("Platform"), developed by A&R Advertising. By using the Platform, you agree to be bound by these Terms.

1. Definitions
   For the purposes of these Terms:
   • "Platform" refers to the TemplifyDoc website and all associated software, interfaces, and content functionality developed by A&R and Innovac Consulting.
   • "User," "you," or "your" refers to any individual accessing or using the Platform, including but not limited to medical representatives (MRs), field staff, or other authorized personnel.
   • "Content" means any data, text, image, photo, video, GIF, or other material submitted, uploaded, customized, or shared through the Platform by the User.
   • "Client" refers to the organization (typically a pharmaceutical company) that has authorized the User to access the Platform.

2. Purpose of the Platform
   TemplifyDoc enables Users to customize pre-approved templates (e.g., images, emailers, videos, GIFs) for professional use in pharmaceutical marketing. Customizations may include adding doctor names, photographs, or localized details.

   All outputs are intended solely for compliant, professional medical communication.

3. User Responsibility
   By using the Platform, you agree to:

   • Upload only appropriate, lawful, and professional content
   • Not include any obscene, defamatory, misleading, or unauthorized material
   • Ensure that you have valid consent to use any personal data (e.g., doctor names or photos)
   • Comply with all applicable laws, advertising codes, and company policies

   You are solely responsible for all customizations made through your login.

4. Intellectual Property
   All rights, title, and interest in the TemplifyDoc Platform (including software, backend code, and interface design) are owned by A&R Advertising & Research. All templates and creative assets available on the Platform are the intellectual property of A&R, unless explicitly assigned in writing to a specific Client.

   Users are granted a limited, non-transferable license to use these assets within the Platform for their intended professional use. No content may be copied, redistributed, or used outside this scope without written permission.

5. Customization
   TemplifyDoc enables user-driven personalisation of templates. All names, images, and text entered into templates are the sole responsibility of the User.

   A&R do not monitor or verify customized content prior to sharing, and are not liable for any content that is misleading, offensive, or unauthorized. Any misuse may result in immediate suspension of access and may be reported to the Client company.

6. Monitoring and Enforcement
   A&R reserves the right to:

   • Monitor Platform usage and content logs for compliance
   • Restrict or revoke access at its sole discretion
   • Remove any content deemed inappropriate or in breach of these Terms

   Platform activity may be logged and retained for internal review or compliance purposes.

7. Disclaimers and Limitation of Liability
   The Platform is provided “as is,” without any warranties of performance, accuracy, or suitability for a specific purpose.

   A&R shall not be liable for:

   • Errors, misuse, or omissions in user-generated content
   • Unauthorized use of templates
   • Content that is offensive, obscene, defamatory, misleading, or otherwise unlawful, whether added knowingly or inadvertently
   • Any loss, reputational damage, or legal consequences resulting from the use or distribution of the Content
   • Any indirect, incidental, or consequential damages arising from use of the Platform

8. Indemnity
   Users and their employing organizations (i.e., Clients) agree to indemnify and hold harmless A&R Advertising & Research, and their affiliates from any claims, damages, or liabilities arising from:

   • Misuse of the Platform
   • Violation of these Terms
   • Upload of inappropriate or unauthorized content
   • Third-party claims relating to user-generated materials

   This includes all legal fees and costs associated with investigation or defense.

9. Governing Law
   These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai.

10. Acceptance
    By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
